(the "Company")
1997 Concert Party Holding
The Company is pleased to announce that the 91,666,667 New Units referred to in the Prospectus dated 17 December 2009
("the
Prospectus") have been issued, admitted to the Official List and admitted to trading on the London Stock Exchange's main
market for listed securities. Dealings for normal settlement in the New Units commenced at 8.00 a.m. today.
Definitions on pages 186 to 196 of the Prospectus shall have the same meanings in this announcement.
Following approval of the waiver granted by the Panel on Takeover and Mergers by Shareholders at the General Meeting on
11
January 2010, and the subsequent issue of the New Units, the Company has 164,038,149 Units in issue, where each Unit
comprises one Ordinary Share and 20 B Shares, with the B Shares being attached at all times to the Ordinary Shares. Each
Ordinary Share is entitled to one vote at General Meetings of the Company; the B Shares have no voting rights as they
are
designed to provide a capital efficient distribution structure to all holders of Ordinary Shares.
Following issue of the New Units, the 1997 Concert Party referred to in the Prospectus owns a total of 54,973,955 Units,
representing 33.51 per cent. of the 164,038,149 Units in issue.
R.G. Balfour-Lynn, J. Singh and M.A. Bibring, who are members of the 1997 Concert Party, are Directors of the Company.
